TikTok Shop Agency Contract Questions: Lock-In, Tooling Ownership, and Retainers

Before you sign with a TikTok Shop agency, get written answers on three things: how long you are locked in, who owns the tooling, creator data, and creative when the contract ends, and what the agency found in your program before asking for a retainer. Most contract advice for TikTok Shop agencies focuses on fees. Fees matter, but they are easy to compare. Ownership and exit terms are what decide how painful it is to leave, and they are rarely on the first page.

How long am I locked in, and how do I get out?

  1. What is the minimum term? Ask whether the contract converts to month-to-month after the first period, and how much notice either side needs to end it.
  2. Is there an early-termination fee? Get the number in writing, or written confirmation that there is none.
  3. What happens in the last 30 days? Ask for a written handover plan that lists every account, list, template, and report you will receive, not just an offboarding call.

A long minimum term is not automatically bad. It is a problem when it is paired with tooling and data that live in the agency's accounts, because then leaving means starting over.

Who owns the tooling, the data, and the creator relationships?

  1. Who owns the creator lists and relationships? The Brand Buddies advises asking any agency what you keep if you part ways. Creator contacts built on your shop should stay with your shop.
  2. Who owns the tooling and automations? If outreach sequences, reports, or templates live in the agency's accounts, they leave with the agency. Constant Hire puts it directly: with an agency, knowledge retention lives in the agency's accounts.
  3. Who owns the creative and the usage rights? Confirm who holds the rights to creator videos run as ads, for how long, and on which platforms.
  4. Do we keep read access to everything in our own accounts? Settle data access before signing. Your TikTok Shop, ads account, and any creator CRM such as Cruva or Euka should be owned by the brand, with the agency added as a user.

A simple test: if the agency disappeared tomorrow, could someone on your team log in and see every creator, every sequence, and every report? If the answer is no, the contract is renting you the process.

What should I see before I pay a retainer?

  1. Will you audit our program before we sign? A written audit shows how a partner thinks before you commit budget. It also gives you a baseline to measure them against later.
  2. What did you find, ranked by revenue? A useful audit ranks gaps by the revenue behind each one, rather than listing everything that could be better. Ask which gap they would close first and why.
  3. What are you guaranteeing? Be careful with GMV guarantees. Results depend on product, creators, and the platform. Nobody honest can guarantee GMV. Ask what they commit to deliver instead: specific systems, reports, or documents by a specific date.

Who does the work after the contract ends?

  1. Who on our team will own each workflow after you leave? If the answer is "nobody, we run it," that is a managed service. It can be the right choice, but know that is what you are buying.
  2. What will our team be able to do in 90 days that it cannot do now? This question separates a partner that builds capability from one that sells hours.

Do I need a managed-service retainer at all?

If you do not have anyone running TikTok Shop, a managed-service agency supplies the labor, and a retainer is how that labor is billed. That is a fair trade.
